Talfourd "Fourd" H. Kemper, Jr., is Of Counsel in the Business Section of Woods Rogers PLC. His practice focuses on mergers & acquisitions, venture capital financing, securities, licensing, intellectual property matters and the representation of high-tech entrepreneurs and also includes general commercial, estate planning and tax matters. A native of Roanoke, Fourd graduated from Duke University in 1990 with a degree in economics and from University of Virginia Law School in 1995, where he was a member of the Editorial Board of Virginia Law Review. Fourd served on the Boards of Downtown Roanoke, Inc. and of Opera Roanoke.
Experience
- Extensive experience representing private and public buyers and sellers in the form of mergers, stock purchases and asset purchases (ranging from $250,000 to $250 million).
- Representing public company in successful tender offer of another public company.
- Representing numerous companies being acquired by private-equity backed companies.
- Representing several public companies in their compliance with Federal securities laws and NYSE and NASDAQ regulations.
- Primary outside counsel for two regional venture capital firms.
- Representing numerous established industrial companies in their venture capital or private investments.
- Representing “angel” investors in early-stage investments.
- Representing numerous high-technology companies raising capital from “angel” investors and venture capital firms.
- Representing entrepreneurs forming and growing business, including preparing operating (LLC) agreements.
- Extensive experience structuring stock option and other equity incentive programs.
- Significant experience representing licensors and licensees in patent, software, trademark, website and “know-how” license agreements.
- Advising companies on a range of intellectual property issues, including trademarks, copyrights and trade secrets and on trademark infringement, patent infringement and anti-cybersquatting lawsuits.
- Preparing and advising on NDAs, noncompetition, nonsolicitation and ownership of invention agreements, supply/manufacturing agreements, distributor agreements and leases.
- Representing national real estate developer in its acquisitions, dispositions and financings.
- Representing numerous borrowers in their financing transactions.
- Advising on various corporate governance issues, under Virginia and Delaware laws.
- Serving on nonprofit boards and advising on related legal issues.
