Why Commercial Real Estate Deals Die Before Closing with Richard Crouch, Real Estate Investing with RealDealCrew

A commercial real estate deal can make financial sense and still unravel before closing. Delays, gaps in operating agreements, and overlooked contract provisions can put an otherwise promising investment at risk. Woods Rogers Principal and Commercial Real Estate Practice Co-Chair Richard Crouch recently joined Real Estate Investing with RealDealCrew to discuss how investors can anticipate these obstacles and protect their interests from the outset.

In the conversation, Richard explains how slow turnaround can erode confidence in a transaction and why investors should look closely at what off-the-shelf operating agreements leave out. The conversation covers provisions governing capital calls, dilution, and the removal of an underperforming sponsor, along with what lenders expect when borrowers seek a loan maturity extension.

Richard also covers the binding provisions that can appear in a “non-binding” letter of intent and purchase agreement language that prevents the due diligence clock from starting before the seller delivers required materials.
